Business Partner Agreement

The basic rules for businesses listing, selling, supplying, and fulfilling orders through AKONAM.

Effective from the date of publication

This Agreement sets out baseline participation terms for a business approved to offer products or services through AKONAM (the Business). It applies alongside the AKONAM Terms of Use and any additional transaction terms accepted by the parties.

The final contracting entity, business-specific commercial arrangements, and detailed settlement procedures may be documented separately. No fee, settlement deadline, exclusivity, or guaranteed order volume is created unless expressly disclosed and accepted.

01

1. Business registration and authority

The Business must provide accurate registration, representative, contact, service, and payment information required for onboarding and lawful operation. The person acting for the Business must have authority to do so.

The Business must update material information and provide reasonable evidence needed for verification. Approval does not guarantee orders, revenue, exclusivity, or a particular level of visibility.

02

2. Listings and representations

The Business is responsible for the accuracy and legality of its listings, descriptions, prices, availability, photographs, qualifications, and other representations.

The Business must have the necessary rights, permissions, licences, and authority to supply its listed products or services. Material errors and changes affecting open orders must be communicated promptly.

03

3. Order acceptance and fulfilment

The Business must review each order's scope, price, deliverables, deadlines, and special conditions before accepting it. Accepted orders must be fulfilled in accordance with the agreed terms and applicable law.

The Business must communicate material delays or problems, maintain reasonable service standards, and avoid substitutions or undisclosed charges without the required approval.

Any specific service levels, delivery guarantees, return arrangements, or performance standards must be stated in the applicable order or a separate accepted schedule.

04

4. Payments and settlement

Customers pay through AKONAM. AKONAM manages settlement to the Business in accordance with the applicable order and accepted commercial terms.

This Agreement does not set a commission rate, subscription fee, listing fee, transaction charge, minimum payout, or settlement deadline. Any applicable fee or deduction must be disclosed and accepted before it is applied.

Settlement timing, transaction records, disputed orders, refunds, chargebacks, payment-processing costs, and lawful adjustments must follow the terms disclosed for the relevant transaction or commercial arrangement. No specific payout date or refund period is promised here.

05

5. Customer service and complaints

The Business must respond reasonably to order-related questions and cooperate with good-faith complaint and dispute reviews. Information and evidence supplied to AKONAM must be accurate.

If the Business cannot fulfil an order as agreed, it must notify AKONAM promptly. Any remedy will be determined by the accepted transaction terms, the circumstances, and applicable law.

06

6. Confidentiality and data protection

The Business must protect non-public commercial information and use customer information only for authorized transaction-related purposes or another lawful purpose.

The Business must comply with applicable data-protection requirements and use reasonable safeguards to protect personal information. Information obtained through AKONAM must not be sold, misused, or disclosed without an appropriate lawful basis.

07

7. Intellectual property and promotion

Each party retains the intellectual-property rights it owns. The Business must have permission to submit logos, photographs, descriptions, trademarks, and other materials for use on AKONAM.

Any licence needed by AKONAM to display or promote the Business's listings must be limited to the rights and purposes communicated and agreed. Neither party may claim to represent or bind the other beyond authority expressly granted.

08

8. Commercial arrangements

Additional arrangements for particular products, services, campaigns, or fulfilment models may be agreed in a written schedule, order, or other record accepted by both parties.

No exclusivity, minimum sales volume, guaranteed revenue, advertising commitment, penalty, indemnity, or liability cap is created by this Agreement unless expressly stated in an applicable accepted agreement.

09

9. Compliance and account restrictions

The Business must comply with laws and regulatory requirements applicable to its operations, products, services, licences, consumer obligations, and taxes.

AKONAM may restrict a listing or account where reasonably necessary to address suspected fraud, security risks, unlawful activity, or a material breach, subject to applicable law. The Business should contact AKONAM to raise a concern or request a review.

10

10. Ending participation

A Business wishing to stop participating should contact AKONAM and cooperate in resolving open orders and outstanding transaction issues.

Any detailed notice period, termination procedure, open-order treatment, and final settlement process will be governed by applicable written terms and law. Termination does not automatically extinguish accrued payment rights or mandatory legal protections.

11

11. Governing law

This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes are subject to competent Nigerian courts, subject to applicable jurisdictional rules and mandatory legal protections.

By accepting the applicable business terms, the Business agrees to these baseline participation rules. Additional commercial obligations must be disclosed and accepted where required.
