Individual Provider Agreement

The basic responsibilities and operating rules for individuals offering products or services through AKONAM.

Effective from the date of publication

This Agreement applies to an individual approved to offer products or services through AKONAM (the Provider). By accepting the applicable provider terms and participating in the marketplace, the Provider agrees to follow these rules.

AKONAM supports independent marketplace participation and managed fulfilment. The applicable arrangement must be identified for the relevant service or assignment. This Agreement does not by itself determine employment status where that status depends on the actual working relationship and applicable law.

01

1. Registration and accurate information

The Provider must submit accurate identity, contact, service, and payment information required for onboarding and settlement. The Provider must update material changes and provide information reasonably required for lawful verification.

Approval is not a guarantee of orders, income, or continued access to the platform.

02

2. Independent and managed fulfilment

Under the independent model, the Provider offers and fulfils accepted orders independently, subject to the agreed order details, platform rules, and applicable law.

Under the managed model, AKONAM may coordinate or manage specified aspects of an assignment, such as allocation, customer communication, deadlines, quality checks, and completion reporting. The applicable responsibilities should be communicated before the Provider accepts the assignment.

A particular engagement may combine both models. The actual arrangement and applicable law determine the parties' legal rights and responsibilities.

03

3. Orders and service standards

Before accepting an order, the Provider must review its scope, price, deliverables, deadline, and any special requirements. The Provider must not knowingly accept work they cannot reasonably perform.

The Provider must perform accepted work with reasonable care and skill, provide truthful updates, protect customer property and information, and promptly report material delays or problems.

Changes to the accepted scope or price require the approval specified for the transaction. The Provider must not impose undisclosed charges on customers.

04

4. Payments, fees, and settlement

Customers pay through AKONAM. AKONAM manages settlement to the Provider under the applicable order and provider terms.

No provider commission, subscription fee, listing fee, or other provider charge is set by this Agreement. Any applicable fee or deduction must be clearly disclosed and accepted before it is applied.

The settlement timeline, payout conditions, treatment of disputed orders, refunds, chargebacks, and lawful adjustments will be governed by the applicable terms disclosed for the relevant arrangement. This Agreement does not promise a specific settlement date or refund period.

05

5. Customer conduct and information

The Provider must treat customers professionally, avoid misleading claims, and use customer information only as necessary for the authorized order or another lawful purpose.

The Provider must not sell, disclose, or reuse customer data for unrelated purposes without an appropriate lawful basis or authorization. Reasonable safeguards must be used to prevent unauthorized access or disclosure.

06

6. Lawful products, services, and content

The Provider must ensure that listed products and services are lawful and that they hold any permissions, qualifications, or licences required for the work they undertake.

The Provider must own or have permission to use any content, photographs, designs, or other materials they submit. The Provider must not infringe third-party rights or misrepresent their identity, qualifications, or offerings.

07

7. Complaints and order issues

The Provider must cooperate with reasonable investigations of complaints, payment issues, suspected fraud, and order disputes. Any evidence supplied must be accurate and lawfully shared.

If an order cannot be completed as agreed, the Provider must promptly notify AKONAM through the designated channel. The applicable transaction terms and law determine the available remedy; this Agreement does not create an automatic refund or penalty.

08

8. Suspension and ending participation

AKONAM may restrict an account or listing where reasonably necessary to investigate suspected fraud, address a security or legal risk, or respond to a material breach, subject to applicable law.

A Provider who wishes to stop participating should contact AKONAM and cooperate in resolving accepted orders. Outstanding settlements and accrued rights remain subject to the applicable terms and law.

Any detailed notice periods, appeals, performance thresholds, or disciplinary procedures must be communicated through an applicable policy or written agreement.

09

9. Independent status and legal obligations

Independent marketplace participation does not, by itself, make the Provider an employee, agent, partner, or joint venturer of AKONAM. Managed fulfilment may involve additional coordination or supervision, and the legal characterization of that relationship depends on the actual facts and applicable law.

Each party remains responsible for obligations imposed on it by law, including applicable tax, licensing, employment, and data-protection obligations.

10

10. Governing law

This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes are subject to competent Nigerian courts, subject to applicable jurisdictional rules and mandatory legal protections.

By accepting the applicable provider terms, the Provider acknowledges these baseline operating rules. Any additional commercial terms must be separately disclosed and accepted where required.
